The text has not been reviewed by a lawyer. It describes precisely what the software and the server do with data — every field mentioned was checked against the code —, but the liability, warranty and jurisdiction clauses need a lawyer’s review.
The identification of the responsible company is missing.
ChromAssistant Map Builder (the "Software") is provided by [COMPANY NAME], CNPJ [CNPJ], at [ADDRESS] ("we"). Contact for anything about these Terms and the Privacy Policy: [CONTACT E-MAIL].
The Software is a Windows application that draws and checks gas chromatography valve maps, simulates the system (the path of the compounds, the valve switches and an estimated chromatogram) and edits the instrument method. The maps (.mapa.json) and methods (.metodo.json) you create stay on your computer.
We grant the license holder (the "Licensee"), while the license is valid and not revoked, a non-exclusive, non-transferable, non-sublicensable license to use the Software for internal use, on one computer at a time, under the terms of the key issued. No other license is granted, expressly or by implication. The Software is licensed, not sold: the code, the bundled data, the simulation model and the brand are ours or licensed to us (Brazilian Laws 9,609/1998 and 9,610/1998).
Once activated, the Software works offline until the key's validity date (or with no limit, if perpetual). Whenever it is opened with an internet connection, it asks our server whether the license is still valid on this computer (Privacy, EP2). If the license has been revoked, or moved to another computer, this computer's activation is deleted and the Software returns to the activation screen, stating the reason. Without internet the check does not happen and the Software opens normally.
While the license is valid and not revoked, the Software looks for new versions on our server and downloads them with your license. Each download is recorded (Privacy, EP2). We are not obliged to release updates, and new versions may change, improve or remove features. [SUPPORT AND UPDATE TERMS INCLUDED IN THE PRICE]
We may revoke the license for [non-payment of the agreed price, after notice and 10 days], use contrary to EL9, or at the Licensee's request, with notice to the e-mail given at issue whenever possible. Revocation takes effect the next time the Software is opened online, and a revoked license no longer downloads updates. When the license expires or is revoked, the Software no longer opens; your map and method files remain on your computer and can be opened by other software that reads the format.
For licenses issued up to 9 October 2026 we deliver the library of analysis maps (the "Library") as a signed file, through the Software itself, which downloads it from our server when it opens with internet access and with updates turned on, or by e-mail if needed. The Library is our confidential information and trade secret: it is licensed only for the Licensee's internal use, on the activated computer, and may not be copied, redistributed, published or used to train third-party systems. Licenses issued after that date do not include the Library.
Licenses issued before 10 October 2026 as a .lic file remain valid on the terms they were issued: bound to the computer they were issued for (or to any computer, if so issued), not registered on the server and without the check in EL4. When they download an update, the download is recorded with the Licensee name contained in the file (Privacy, EP2).
You agree not to: share the key, the recovery code or the activation receipt; use the license on more than one computer at the same time; circumvent the activation, the check or the license signatures; reverse engineer, decompile or modify the Software, except as the law expressly allows; resell, sublicense, rent or distribute the Software or the Library; or use the Software to build a competing product. The Software includes open-source components, each governed by its own license, whose notices ship with the installer; nothing in these Terms restricts what those licenses grant.
The Software does not replace the analyst. Every value it shows — retention time, elution order, valve event time, simulated chromatogram, temperature, flow — is a starting point to be validated on the instrument: it is a modelled estimate, not a measurement, and it is only as good as the map drawn. Valve event times always require experimental adjustment. The Software may not be used as the sole source for a report, regulated test, product release, safety decision or any decision that requires a validated method. The map check ("Check") points out inconsistencies in the drawing but does not guarantee that the map represents your system.
We warrant that the Software works substantially as described in EL1 for [90 DAYS] from activation. Beyond that, and to the extent permitted by law, the Software is provided as is, without warranty that its results are complete, accurate or fit for a particular purpose.
We are not liable for losses arising from technical decisions made on the basis of the Software without the validation in EL10, nor for lost profits, loss of sample, batch, production or data, or indirect damages. Our total liability, for any cause related to the Software, is limited to the amount paid for the license in the [12 MONTHS] before the event. This limitation does not apply to wilful misconduct or gross negligence on our part, nor to rights that consumer protection law makes non-waivable. If the relationship is a consumer one, the rights of the Brazilian Consumer Code apply, including withdrawal within 7 days of a purchase made outside a physical store.
Backups. Maps and methods stay only on your computer: back them up. We do not have a copy.
The Software and ChromAssistant are different products, with different licenses: a license for one does not grant use of the other. The files the Software exports are yours and may be used in other software, including ChromAssistant, where its own terms apply.
You accept these Terms by ticking the acceptance box when installing or activating the Software. The accepted version and the date are recorded with the activation. Material changes will be announced at least [15 days] in advance; the Software asks you to accept the new version at the next online start-up and, without internet, keeps opening. If you do not wish to accept, you may end the license through the contact in EL1. These Terms are governed by the laws of Brazil and by the Portuguese version. The courts of [CITY/STATE] have jurisdiction, without prejudice to the consumer's domicile.
The controller is [COMPANY NAME] (EL1). Data protection officer: [NAME AND E-MAIL, OR SMALL-ENTITY EXEMPTION].
| When | What the Software sends | What the server keeps |
|---|---|---|
| License issue (by us) | — | Licensee name (person or company), e-mail, an internal note, the edition, the validity, the issue date, a cryptographic hash of the recovery code and, if any, the revocation date. The key is not stored. |
| Activation | The key, the computer code, the Software version, the version of these Terms you accepted and, when moving computers, the recovery code. | The computer code, the activation date, the date last seen, the Software version, the accepted version of the Terms and the date of acceptance and, when the license leaves the computer, the date and reason (move or release by us). Each wrong recovery code records only the date. |
| Each online start-up | The key, the activation receipt (which carries the license number, the computer code and the Licensee name) and the Software version. | Updates the date last seen and the version. |
| Each update download | The key and receipt (or the legacy .lic file) and the Software version. | The license number (or the Licensee name in the .lic), the computer code, the version and the date. |
| Each Library check (legacy licenses, with updates turned on) | The legacy .lic file and the Software version. | The Licensee name in the .lic, the computer code, the version and the date. |
| Light installer | The key, to download the latest version. | The license number, the version and the date. |
We do not receive your maps, methods, simulation results or anything you do in the Software. They stay on your computer.
IP address. As with any internet connection, our server receives your computer's IP address. It uses the IP only in memory, for up to 15 minutes, to limit abusive attempts, and does not store it. The hosting provider (EP5) logs the IP, the browser or program, the address requested, the status and the duration of each request for [7 OR 30 DAYS, DEPENDING ON THE PLAN — OR 6 MONTHS (MARCO CIVIL)].
| Purpose | Legal basis (LGPD) |
|---|---|
| Issue, activate and check the license; record the acceptance of these Terms; allow moving computers; deliver updates | Performance of contract (art. 7, V) |
| Limit abusive attempts; protect the server; know which versions are in use to plan updates | Legitimate interest (art. 7, IX) |
| Access logs required by law | Legal obligation (art. 7, II; Marco Civil, art. 15), [IF APPLICABLE] |
| Defence in legal proceedings | Regular exercise of rights (art. 7, VI) |
In the Software's data folder (hidden, in the Windows user profile): the activation (the key and the receipt, which carries the Licensee name and the computer code), the legacy .lic file, if any, the key typed in the light installer and the acceptance given there, until activation, the private Library, if delivered, and your maps, methods and preferences. Uninstalling the Software does not delete that folder; you may delete it at any time.
| Provider | What | Where |
|---|---|---|
| Railway — hosting of the activation server, the database and the installation files | Everything in EP2, because the server runs there, and the access logs. | United States (US East region). |
| Cloudflare — domain name only (DNS) | Resolves mapbuilder.chromassistant.com; does not receive the traffic. | Worldwide network. |
| [OUR E-MAIL PROVIDER] | The license certificate and, if needed, the Library, sent by us to your e-mail. | [TO BE CONFIRMED] |
International transfer follows the international transfer clause of the ChromAssistant Privacy Policy. We do not sell or assign personal data, and the Software has no advertising, usage analytics or data collection beyond EP2.
The license and activation records, while the license exists and then for [5 YEARS], only for the defence of rights. Download records, [12 MONTHS]. Recovery-code attempts, 24 hours. The provider's access logs, as in EP2.
The rights under the LGPD (art. 18) — confirmation, access, correction, anonymisation, blocking, deletion, portability, information on sharing, objection and complaint to the ANPD — are exercised through the contact in EL1, within 15 days. Deleting the license record ends the possibility of activating it and of downloading updates.
Communication with the server is encrypted (HTTPS); keys and receipts are signed with cryptography only we can issue; the recovery code is stored only as a hash; administrative access requires a token and two-step verification. The Software is for professional use and is not intended for anyone under 18. This Policy changes together with the Software's Terms, in the same version.
